ProboTalent Privacy Policy

ProboTalent LLC (“we,” “our,” or “us”) is committed to protecting the privacy of personal information we collect. This Privacy Policy describes how we collect, use and disclose personal information collected from resellers (“Resellers”) and other authorized users (“Other Authorized Users” and, together with Resellers, “Resellers and Other Authorized Users”) of the ProboTalent Service (the “Service”). This Privacy Policy also describes how we collect, use and disclose personal information collected from visitors to our website located at  www.probotalent.com (the “Site”) (for example, website visitors who request that we provide them with additional information about the Service). Capitalized terms used and not otherwise defined in this Privacy Policy have the meanings assigned to such terms in the applicable resale agreement (“Resale Agreement”) in the case of Resellers or other governing agreement (the “Other Agreement”) in the case of Other Authorized Users and/or the documentation pertaining to the Service (the “Documentation” and, together with the Resale Agreement or Other Agreement, as applicable, the “Agreement and Documentation”).

1. Scope of This Privacy Policy

This Privacy Policy applies to personal information that we collect from Resellers and Other Authorized Users of the Service, other than Reseller Customer, Reseller Candidate and Reseller Reference Provider personal information and personal data that is covered by the ProboTalent Data Processing Addendum (as the processing of such information is covered by the terms of the ProboTalent Data Processing Addendum, rather than this Privacy Policy) and other than Reseller Confidential Information (as such information is covered by the confidentiality provisions of the
Resale Agreement, rather than this Privacy Policy).

This Privacy Policy also applies to personal information that we collect from visitors to the Site.

This Privacy Policy does not apply to any third-party websites, services, or applications that may be linked to the Service or the Site. You need to review the privacy policies of such websites, services, or applications to understand their privacy practices.

2. Information We Collect

We may collect the following types of personal information from Resellers and Other Authorized Users:

    • Account information provided by Resellers and Other Authorized Users, including entity name, address, email address, phone number and other contact details, state of formation, EIN and other similar information;
    • Payment information provided by Resellers and Other Authorized Users, including credit card information ACH information or other payment information;
    • Transaction information pertaining to transactions completed using the Service, including the types of Assessments completed and the parties to the transactions; and
    • Business contact data provided by Resellers and Other Authorized Users and their designated employees, agents and representatives in connection with their use of the Service.

We may collect the following types of personal information from visitors to the Site:

    • Information that visitors to the Site choose to provide to us (for example, email address and other contact information from visitors who choose to submit information through a contact form, request a demo, download materials, subscribe to updates, or otherwise interact with us).

We may also collect automatically the following types of personal information relating to Resellers and Other Authorized Users use of the Service and visitors use of the Site:

    • Log data, such as IP address, device information, and browser type;
    • Usage data regarding interactions with the Service or the Site, such as pages viewed; and
    • Cookies and similar tracking technologies.

3. How We Use Personal Information

We use personal information:

    • To allow Resellers and Other Authorized Users, as applicable, to complete Assessments and otherwise use the functionality of the Service;
    • To allow us to bill Resellers and Other Authorized Users, as applicable, for fees and other charges due which pertain to their use of the Service;
    • To allow Resellers and Other Authorized Users, as applicable, to establish payment mechanisms to pay fees and other charges due which pertain to their use of the Service;
    • To communicate with Resellers and Other Authorized Users, as applicable, about their use of the Service, including to respond to and address support requests, to respond to and address billing inquiries and to address other service issues pertaining to Resellers and Other Authorized Users use of the Service;
    • To address technical issues relating Resellers and Other Authorized Users use of the Service;
    • To otherwise allow us to provide the Service and its functionality to Resellers and Other Authorized Users in the manner described in the Agreement and Documentation;
    • To send administrative communications pertaining to Resellers and Other Authorized Users use of the Service;
    • To enforce obligations arising under the Agreement and Documentation;
    • To respond to inquiries and fulfill requests from visitors to the Site, such as to schedule demos or provide information about the Service;
    • To operate, maintain, and improve the Service and the Site and personalize content we display;
    • To detect, prevent, or investigate security incidents, fraud, or misuse of the Service and the Site; and
    • To comply with applicable legal and regulatory obligations and protect our legal rights.

4. Sharing of Personal Information

We may share personal information as follows:

    • We may share personal information for the limited purpose of allowing Resellers and Other Authorized Users to complete Assessments and otherwise use the Service in the manner contemplated in the Agreement and Documentation;
    • We may share, subject to applicable confidentiality restrictions, personal information with affiliated and third-party service providers who provide hosting, support, billing and other business services to us in connection with our provision of the Service and/or the Site;
    • We may share, subject to applicable confidentiality restrictions, personal information with affiliated and third-party licensors who license technology to us that we use in the provision of the Service and/or the Site;
    • We may share personal information with applicable legal or regulatory authorities when required by applicable legal or regulatory requirements or to protect our legal rights; and
    • We may share, subject to applicable non-disclosure agreements, personal information in connection with a sale or potential sale of our business (such as in connection with a due diligence review associated with, or the consummation of, a merger or acquisition transaction).

We do not sell or share personal information with third parties for marketing purposes.

5. Data Retention

We retain personal information for as long as reasonably necessary to fulfill the purposes outlined in this Privacy Policy or as required by law. When personal information is no longer needed, we securely delete or anonymize it.

6. Security Measures

We implement technical and organizational measures to protect personal information against unauthorized access, alteration, and disclosure of personal information.

7. Data Subject Rights

Individuals in California and certain other states and jurisdictions have certain rights regarding their personal information and data, including:

    • The right to know what personal information and data we collect and how we use it;
    • The right to correct personal information and data;
    • The right to request deletion of personal information and data;
    • The right to opt-out of certain data-sharing practices; and
    • The right to non-discrimination for exercising privacy rights.

8. Children’s Privacy

Use of the Service is not permitted by anyone under the age of 18 years. Use of the Site is not directed to children or anyone under the age of 18 years. We do not knowingly collect personal information from children.

9. Changes to This Privacy Policy

We may update this Privacy Policy from time to time. If we make material changes to this Privacy Policy, we will notify users of the Service through the Service and will post an updated copy of the Privacy Policy on the Site. We will also update the Last Updated date appearing at the top of this Privacy Policy.
